Welcome to ALUMRISE! ALUMRISE.com is a global talent marketplace for those outside the workforce due to choice, circumstance or life-stage. 
ALUMRISE keeps alumni, called Professionals, connected with current and former peers, and offers employers the opportunity to connect with and 
collaborate with former industry alumni. The following are the terms and conditions associated with using ALUMRISE, and for accessing the 
ALUMRISE network. Use of the ALUMRISE.com website, services offered by ALUMRISE, ALUMRISE.com, or any organizations wholly or partly owned or 
operated by ALUMRISE, Inc. are contingent on agreement with the Terms and Conditions referred to in this document, information contained in 
any links contained in these Terms and Conditions, and the Privacy Policy contained on the ALUMRISE.com website. 

All of these terms must be agreed upon wholly, and agreement cannot be made to any part of the above mentioned documents while not agreeing 
to any other portion of any mentioned document. Additionally, agreement cannot be contingent on any other agreement or condition precedent, 
unless otherwise agreed to in a non-electronically transmitted writing by a corporate officer of ALUMRISE, Inc. Terms and Conditions are 
subject to change without notice, and users are responsible to periodically checking the terms and conditions for changes. Continued use of 
the site implies user has agreed to the changes in the Terms and Conditions.

COPYRIGHT
All content included on this site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, 
and software, is the property of ALUMRISE or its content suppliers and protected by United States and international copyright laws. The 
compilation of all content on this site is the exclusive property of ALUMRISE and protected by U.S. and international copyright laws. All 
software used on this site is the property of ALUMRISE or its software suppliers and protected by United States and international copyright 
laws.

LICENSE AND SITE ACCESS 
ALUMRISE grants you limited access to make personal use of this site and not to download (other than page caching) or modify it, or any 
portion of it, except with express written consent of ALUMRISE. This access permission does not include any resale or commercial use of this 
site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this site or its 
contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or 
similar data gathering and extraction tools. This site or any portion of this site may not be reproduced, duplicated, copied, sold, resold, 
visited, or otherwise exploited for any commercial purpose without express written consent of ALUMRISE. You may not frame or utilize framing 
techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of ALUMRISE 
without express written consent. You may not use any meta tags or any other "hidden text" utilizing ALUMRISE's name or trademarks without
the express written consent of ALUMRISE. Any unauthorized use terminates the permission granted by ALUMRISE. You are granted a limited, 
revocable, and nonexclusive right to create a hyperlink to the home page of ALUMRISE.com so long as the link does not portray ALUMRISE, or 
its products or services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any ALUMRISE logo or other 
proprietary graphic or trademark as part of the link without express written permission. 

YOUR ACCOUNT 
If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your 
computer, and you agree to accept responsibility for all activities that occur under your account or password. 

You should not access the ALUMRISE Sites through devices or services that are designed to provide high-speed, automated, repeated access, 
unless such devices are approved or made available by ALUMRISE. 

Certain parts of the ALUMRISE Sites are protected by passwords or require a login. You may not obtain or attempt to obtain unauthorized 
access to such parts of the ALUMRISE sites, or to any other protected materials or information, through any means not intentionally made 
available by ALUMRISE for your specific use. 
ALUMRISE reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion.

TIMELINESS OF CONTENT 
All content on the ALUMRISE Sites is presented only as of the date published or indicated, and may be superseded by subsequent market events 
or for other reasons. In addition, you are responsible for setting the cache settings on your browser to ensure you are receiving the most 
recent data.

PROHIBITED USES 
Because all servers have limited capacity and are used by many people, do not use ALUMRISE Sites in any manner that could damage or 
overburden any ALUMRISE server, or any network connected to any ALUMRISE server. Do not use ALUMRISE Sites in any manner that would interfere 
with any other party's use of the ALUMRISE Sites.

TERMINATION 
ALUMRISE may terminate your access to the ALUMRISE Sites for any reason, without prior notice.

USER DISPUTES
You are solely responsible for your interactions with other ALUMRISE users. We reserve the right, but have no obligation, to monitor disputes 
between you and other users.

NO ENTITLEMENT OF EMPLOYMENT OR ANY OTHER COMPENSATION

User agrees and understands that accessing Alumrise, or posting content on Alumrise does not entitle the user to employment with Alumrise or 
any entity in contract or engagement with Alumrise or any entity wholly or partially owned or controlled by Alumrise at any time. User 
further agrees and understands that user is not entitled to compensation for any content user posts on Alumrise, or any statements, actions 
or other communications placed on or through Alumrise. Such communications are acknowledged by user as being publically viewable upon 
transmission, and user waives any compensation or royalty that user may have otherwise been entitled to upon transmission. 


JURISDICTION AND DISPUTE RESOLUTION

User agrees to be bound by and governed by the laws of Texas with regards to any dispute that arises from this agreement or any future 
agreement with Alumrise, without exception.

User agrees disputes regarding the terms of this agreement and violations, breach, or default of this agreement will first be referred to 
mediation. User agrees to allow Alumrise to choose the mediator, and agrees to pay half the cost of mediation. User acknowledges that all 
mediations are binding, and enforceable to the full extent of the law, and subject to all judicial remedies.

If mediation fails, and a resolution cannot be found through mediation, then user agrees that disputes shall be resolved in the applicable 
state or federal courts of Texas. User agrees that Texas is the proper venue, and agrees to travel to Texas, at user’s expense, in the case 
of any legal proceeding. Users consents to the jurisdiction of such courts, agrees to accept service of process by mail, and waive any 
jurisdictional or venue defenses otherwise available. 

User agrees that neither Alumrise, nor any other entity wholly or partially owned or controlled by Alumrise has purposefully availed itself 
to the jurisdiction of any territory in the United States of America or in any other country through the operation of Alumrise.com.

INDEMNITY

User agrees to indemnify and hold Alumrise, any other entity owned or controlled wholly or partly by Alumrise, each of their directors, 
officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and 
expenses, including reasonable attorney's fees, arising out of or in connection with any action, content, conduct, violation of any law or 
the rights of third parties, or statement caused by the user during user’s access or use of Alumrise.

WITHDRAWAL

User may withdraw from the Terms and Conditions by providing a written request to withdraw. With such a withdrawal, user agrees to terminate 
all access and use of Alumrise immediately, and agrees that any subsequent access of Alumrise.com in any capacity will be interpreted as the 
user re-consenting to the Terms and Conditions.

LIMITATION OF LIABILITY AND EXCLUSION OF WARRANTY

IN NO EVENT WILL ALUMRISE OR ITS DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO USER OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, 
EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM USE OF THE SITE OR THE 
SERVICE, ANY PLATFORM APPLICATIONS OR ANY OF THE SITE CONTENT OR OTHER MATERIALS ON, ACCESSED THROUGH OR DOWNLOADED FROM THE 
SITE, EVEN IF ALUMRISE IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE 
CONTRARY CONTAINED HEREIN, ALUMRISE’S LIABILITY FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT 
ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY A USER TO ALUMRISE FOR THE SERVICE DURING THE TERM OF MEMBERSHIP, BUT IN NO 
CASE WILL ALUMRISE'S LIABILITY TO USER EXCEED $1000. USER ACKNOWLEDGES THAT IF NO FEES ARE PAID TO ALUMRISE FOR THE SERVICE 
BY THE USER, USER SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY, UNLESS OTHERWISE PERMITTED BY LAW, AND SHALL NOT BE ENTITLED TO 
DAMAGES OF ANY KIND FROM ALUMRISE OR ANY ENTITY WHOLLY OR PARTIALLY OWNED OR CONTROLLED BY ALUMRISE, REGARDLESS OF THE CAUSE 
OF ACTION. 

USER ACKNOWLEDGES THAT ALUMRISE, AND ANY ENTITY WHOLLY OR PARTICIALLY OWNED OR CONTROLLED BY ALUMRISE, DOES NOT 
REPRESENT OR WARRANT TO USER THAT:

1. USE OF ALUMRISE WILL MEET USER’S REQUIREMENTS;
2. USE ALUMRISE WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR;
3. ANY INFORMATION OBTAINED BY USER AS A RESULT OF USE OF ALUMRISE WILL BE ACCURATE OR RELIABLE; AND
4. THAT DEFECTS IN THE OPERATION OR FUNCTIONALITY OF ANY PORTION OF ALUMRISE.COM, OR ANY OTHER SERVICE PROVIDED BY ALUMRISE, WILL BE 
CORRECTED.

ALUMRISE, ITS DIRECTORS, EMPLOYEES OR AGENTS, OR ANY OTHER ENTITY WHOLLY OR PARTIALLY OWNED OR OPERATED BY ALUMRISE IS NOT 
RESPONSIBLE FOR CONTENT, COMMENTS, VIEWS OR OPINIONS POSTED BY USERS, NOR WILL THEY BE LIABLE FOR SUCH CONTENT IN ANY EVENT. 
USER ACKNOWLEDGES THAT THESE VIEWS IN NO WAY REPRESENT THE VIEWS OR OPIONS OF ALUMRISE, ITS DIRECTORS, EMPLOYEES OR AGENTS, 
OR ANY OTHER ENTITY WHOLLY OR PARTIALLY OWNED OR OPERATED BY ALUMRISE. 

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF ALUMRISE IS DONE AT THE DISCRETION AND RISK OF USER, AND THAT 
USER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO USER’S COMPUTER SYSTEM OR OTHER DEVICE OR LOSS OF DATA THAT RESULTS FROM THE 
DOWNLOAD OF ANY SUCH MATERIAL.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY USER FROM ALUMRISE.COM OR THROUGH OR FROM ANY SERVICE PROVIDED 
BY ALUMRISE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS AND CONDITIONS.

ALUMRISE FURTHER EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT 
LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS 
APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL 
RIGHTS. 

INTEGRATION

This Agreement constitutes the entire understanding of the parties, and revokes and supersedes all prior agreements between the 
parties and is intended as a final expression of their Agreement. This Agreement shall take precedence over any other documents 
that may be in conflict therewith.

ELIGIBILITY
Membership in the Service is void where prohibited. This Site is intended solely for users who are eighteen (18) years of age or older. 
Any registration by, use of or access to the Site by anyone under 18, is unauthorized, unlicensed and in violation of these Terms of Use. 
By using the Service or the Site, you represent and warrant that you are 13 or older and in high school or college, or else that you 
are 18 or older, and that you agree to and to abide by all of the terms and conditions of this Agreement.

CHANGES TO ALUMRISE SITES AND TERMS AND CONDITIONS
Unless otherwise agreed, ALUMRISE may discontinue or modify the ALUMRISE Sites at any time without prior notice to you, and you accept 
those modifications if you continue to use the ALUMRISE Sites. 

Our business changes constantly, and our Privacy Notice and the Terms and Conditions of Use will also change. We may e-mail periodic 
reminders of our notices and conditions, unless you have instructed us not to, but you should check our Web site frequently to see recent 
changes. Unless stated otherwise, our current Privacy Notice applies to all information that we have about you and your account.
